Term & Conditions

1.  Scope of Services

The Agency shall provide security personnel and related services strictly as per the mutually agreed deployment plan, duty hours, and site requirements. Any additional services, increased manpower, or change in scope shall require written approval and may attract additional charges.

2.  Contract Period

The agreement shall remain valid for a minimum period of ___ months from the date of commencement. Premature termination by either party shall require a minimum of 30 days’ prior written notice.

3.  Deployment & Replacement

  • The Agency shall deploy trained and verified personnel as per agreed strength.
  • In case of absence, resignation, or misconduct, replacement shall be provided within 24– 48 hours.
  • The Agency reserves the right to transfer personnel based on administrative or operational requirements.

4.  Statutory Compliance

The Agency shall comply with all applicable laws including but not limited to:

  • PSARA Act (where applicable)
  • Labour Laws
  • EPF & ESI
  • Minimum Wages Act
  • Contract Labour (Regulation & Abolition) Act
  • GST Act

All statutory payments shall be made by the Agency as per law. The Client shall not be held employer of record for deployed personnel.

5.  Payment Terms

  • Monthly invoices shall be raised at the end of each billing cycle.
  • Payment shall be made within ___ days from the invoice date.
  • Delay in payment beyond ___ days shall attract interest @ ___% per month.
  • GST shall be charged as per applicable government norms.

Non-payment may result in suspension of services after due notice.

6.  Liability Clause

  • The Agency’s liability, if any, shall be limited to the total monthly service charges paid by the Client.
  • The Agency shall not be responsible for losses arising due to:
    • Natural calamities (Force Majeure) o Armed robbery by organized groups o Internal staff negligence of the Client
    • Lack of infrastructure (CCTV, boundary wall, lighting, etc.)

Liability shall only arise upon proven negligence of deployed personnel.

7.  Client Obligations

The Client shall:

  • Provide basic amenities (drinking water, washroom access, resting space).
  • Ensure adequate infrastructure such as lighting, boundary security, and CCTV where required.
  • Inform the Agency of any specific risk factors at the premises.
  • Not directly employ or solicit deployed personnel during the contract period and for 6 months thereafter without written consent.

8.  Indemnity

The Client agrees to indemnify and hold harmless the Agency against:

  • Claims arising from unsafe working conditions at the site
  • Third-party liabilities due to Client’s operational negligence
  • Legal disputes unrelated to the Agency’s direct scope of work

9.  Confidentiality

All information relating to the Client’s premises, operations, and security arrangements shall remain confidential. The Agency and its personnel shall not disclose sensitive information to third parties without written consent.

10.  Insurance

The Agency may maintain appropriate insurance coverage (if applicable). However, unless specifically agreed in writing, the Agency shall not act as insurer of the Client’s property or assets.

11.  Force Majeure

The Agency shall not be held liable for failure or delay in performance due to circumstances beyond reasonable control, including natural disasters, riots, government restrictions, war, or unforeseen emergencies.

12.  Dispute Resolution

Any dispute arising out of or relating to this agreement shall first be resolved amicably.

If unresolved, the matter shall be referred to arbitration under the Arbitration & Conciliation Act, 1996.

Jurisdiction shall be limited to the courts of __________ (City/State).

13.  Termination

Either party may terminate the agreement by giving 30 days’ written notice. Immediate termination may occur in cases of:

  • Material breach of contract
  • Non-payment beyond agreed period
  • Criminal misconduct

All dues up to the date of termination shall be payable.

14.  Non-Solicitation Clause

The Client shall not directly recruit, hire, or engage any personnel deployed by the Agency during the contract period and for a period of 6 months after termination. Violation shall attract compensation equivalent to three months’ gross billing per personnel.

15.  Amendment Clause

Any amendment or modification to these terms shall be valid only if made in writing and signed by authorized representatives of both parties.
